These Terms constitute a legally binding agreement between you and 17611552 Canada Inc DBA Scarlet Petal Automation.

Scarlet Petal Automation is an AI automation agency that provides digital marketing, AI-powered sales automation, customer relationship management (CRM) implementation, SMS and email marketing campaigns, conversational AI, lead generation, and related services to service-based businesses.

Services may include, but are not limited to:

AI-powered SMS and email follow-up automation

Sales funnel design and deployment

CRM setup and management (including GoHighLevel sub-account management)

Facebook and Google advertising campaign management

Conversational AI chatbot development and deployment

Sales call booking and appointment automation

Video ad creative production

Business growth consulting and strategy

The specific scope of services provided to any individual client will be outlined in a separate Service Agreement, Proposal, or Statement of Work.

3. SMS / TEXT MESSAGE COMMUNICATIONS AND CONSENT

This section is required for compliance with the CTIA, TCPA, and A2P 10DLC carrier regulations. Please read it carefully.

3.1 Consent to Receive Text Messages

By submitting your mobile phone number to Scarlet Petal Automation through any form on our website, landing page, survey, booking calendar, or opt-in mechanism — or by verbally or electronically providing your number to our team — you expressly consent to receive recurring automated and non-automated SMS/MMS text messages from Scarlet Petal Automation and/or on behalf of its clients (where applicable) to the mobile number you provide.

These messages may include:

Appointment reminders and confirmations

Follow-up messages related to your inquiry or booking

Service updates and information

Promotional offers and marketing messages related to Scarlet Petal Automation services

AI-generated conversational messages for sales and lead nurturing purposes

3.2 Message Frequency

Message frequency will vary depending on your engagement with our services and campaigns. You may receive up to 10 messages per month from us unless otherwise agreed upon in a separate service arrangement.

3.3 Messaging Rates

Message and data rates may apply. You are responsible for any charges your wireless carrier imposes in connection with receiving SMS/MMS messages.

3.4 How to Opt Out

You may opt out of receiving SMS/text messages from us at any time by replying STOP to any message you receive from us. Upon receipt of your STOP message, we will send you a one-time confirmation SMS and you will be removed from our messaging list. After opting out, you will not receive further text messages from us unless you re-subscribe.

Your information may be shared only with our service providers (such as GoHighLevel) who assist us in delivering messages on our behalf, and they are required to protect your information in accordance with applicable law.

3.7 Supported Carriers

Supported carriers include, but are not limited to: AT&T, T-Mobile, Verizon, Sprint, Boost Mobile, MetroPCS, U.S. Cellular, and other major and regional carriers. Carriers are not liable for delayed or undelivered messages.

4. EMAIL COMMUNICATIONS AND CONSENT

By submitting your email address through our website, forms, or other opt-in mechanisms, you consent to receiving promotional and transactional emails from Scarlet Petal Automation. These may include marketing updates, service information, appointment reminders, and offers.

You may unsubscribe from marketing emails at any time by clicking the "Unsubscribe" link at the bottom of any email or by emailing us at [email protected]. Transactional emails related to active service agreements may still be sent regardless of marketing email preferences.

5. ELIGIBILITY

8. CLIENT SERVICES AND PAYMENT TERMS

Where applicable, clients engaging Scarlet Petal Automation for paid services agree to the following:

Payment: All fees are due as outlined in the applicable Service Agreement, invoice, or proposal. Unless otherwise stated, invoices are payable within 7 days of issuance.

Recurring Billing: Where subscription or retainer services are agreed upon, you authorize Scarlet Petal Automation to charge the agreed amount on the agreed schedule using the payment method on file.

Refund Policy: Due to the nature of digital services, all sales are generally final. Refunds, if applicable, will be issued at the sole discretion of Scarlet Petal Automation and in accordance with the terms set out in the applicable Service Agreement.

Late Payments: Scarlet Petal Automation reserves the right to suspend services for accounts with outstanding balances more than 14 days overdue.

Third-Party Platform Costs: Any third-party costs associated with platforms (e.g., GoHighLevel, Facebook Ads, Google Ads, ElevenLabs, etc.) are the sole responsibility of the client unless explicitly included in a written proposal.

9. DISCLAIMER OF WARRANTIES

THE SITE AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SCARLET PETAL AUTOMATION DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

Marketing performance and results depend on many factors outside our control, including market conditions, client cooperation, and third-party platform performance. No guarantees of specific results are made or implied.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL 17611552 CANADA INC DBA SCARLET PETAL AUTOMATION, ITS DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR BUSINESS INTERRUPTION — ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF OUR SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY CASE, OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID US FOR SERVICES IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

11. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Scarlet Petal Automation and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to your violation of these Terms or your use of our Services.

Our website and services may contain links to third-party websites or integrate with third-party platforms (including GoHighLevel, Facebook, Google, and others). We are not responsible for the content, privacy practices, or terms of any third-party websites or services. Your use of third-party services is governed by their respective terms and policies.

Scarlet Petal Automation reserves the right to modify these Terms at any time. When we do, we will update the "Effective Date" at the top of this page. If changes are material, we may also notify users via email or a notice on our website. Your continued use of our Site or Services after any changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically.

16. TERMINATION

We reserve the right to suspend or terminate your access to our Site or Services at our sole discretion, without notice, for conduct that we believe violates these Terms, is harmful to other users, third parties, or our business interests, or for any other reason.
